Commercial Update - Summer 2013

Directors and employees who sign and enter into contracts on behalf of their own or their employer's company often do so without considering whether they have taken steps to ensure they are contracting on behalf of the company, and not in their own name.

Where parties to a contract cannot guarantee that something will happen, they commonly agree to use their "best endeavours" or "reasonable endeavours" to achieve the result.  

Retailers selling goods and/or services to consumers (by which it is meant the general public and not other businesses) online via their own website will need to comply with various legislation and regulations.  

 

Employment Update - Summer 2013

The Disclosure and Barring Service ("DBS"), formerly the Criminal Records Bureau, launched its new Update Service on 17 June 2013.

It is not uncommon for employers to enter into discussions with employees during which they suggest that the employment should end on settlement terms, for example in order to avoid a possibly protracted disciplinary or performance management process. 

An employee brings a claim for unlawful discrimination against his former employer.  As a result, the former employer provides him with a negative reference.  What can he do about it?
