Midlands advisor completes US software deal amid triple Dealmakers Awards recognition

The firm has also been recognised with three shortlistings at the 2026 Midlands Dealmakers Awards.

Headpoint advised the shareholders of FLAGS Software on the 100% sale of the business to US-headquartered Recur Software.

Founded in 1989, FLAGS is a specialist provider of quality management and production control software used within complex manufacturing environments across the automotive, aerospace, rail and marine sectors.

Its technology captures quality and production data at the point of build, supporting manufacturers with product traceability, earlier identification of quality issues and reduced rework.

FLAGS software has been deployed within manufacturing environments operated by companies including Jaguar Land Rover, Bentley Motors, Aston Martin, Tata Motors and Harley-Davidson.

Recur Software partners with industry-specific software businesses with deep domain expertise and strong customer relationships.

The acquisition will support continued investment in the FLAGS platform, product development and expansion into new sectors and international markets.

The Headpoint team was led by partner Emmet Keating, supported by Joseph Lowe and Victoria Bond. Freeths provided legal advice to FLAGS.

The transaction comes as Headpoint has also been shortlisted in three categories at the prestigious 2026 Midlands Dealmakers Awards.

The firm is shortlisted for Large Corporate Finance Advisory Team of the Year, while two transactions completed by the team have also received recognition.

CBPE Capital's growth investment in Birmingham-headquartered Brookbanks Development Group is shortlisted for Deal of the Year (£50m+), while the sale of Chesterfield-based Kingfield Group to Elite Electronic Systems is shortlisted for Deal of the Year (Sub £10m).

The three shortlistings recognise Headpoint across both team performance and transactions of markedly different scale and structure, reflecting the breadth of work undertaken by the firm over the past year.

Headpoint advises business owners, investors and management teams on company sales, acquisitions and growth capital, combining partner-led delivery with deep sector expertise and international reach.
